Welcome to Ayanna J. Designs LLC (“we,” “us,” or “our”). By accessing or using our website, booking a service, or purchasing any digital product, you agree to these Terms & Conditions. Please read them carefully before using our site.

1. Overview

Ayanna J. Designs LLC provides creative services including brand identity, web design, graphic design, and digital resources. These Terms outline your rights and responsibilities when engaging with our website, services, and downloads.

2. Services & Bookings

All bookings and design services are subject to the terms outlined here and in any signed contract or invoice issued through Dubsado, Shopify, or other checkout systems.
By booking a service, you agree that:

All timelines, deliverables, and revisions are specified in your individual proposal or agreement.
You are responsible for providing all required content, feedback, and approvals by the stated deadlines.
Delays in communication or content submission may extend project timelines or result in additional fees.

3. Payments & Installments

Payments must be made in full unless an installment plan has been approved in writing.

Installment Options: Available for services over $200. Please inquire prior to booking.
Deposits: Deposits secure your booking and are non-refundable.
Late Payments: Payments more than 5 days late may incur a late fee and pause all project work until payment is received.
Digital Checkouts: All payments for digital downloads or instant products are processed securely via Shopify or another verified payment processor.

4. Refunds & Revisions

Services: Due to the custom and creative nature of design work, all payments are non-refundable once work has begun.
Revisions: Each service includes a defined number of revisions outlined in your project proposal. Additional revisions may incur a fee.
Digital Products: All digital products (e-books, templates, guides, vendor lists, etc.) are final sale and non-refundable.

5. Intellectual Property & Usage Rights

All creative concepts, designs, and materials remain the intellectual property of Ayanna J. Designs LLC until the project is paid in full.
Upon final payment:

You receive rights to use the final, approved designs for your agreed-upon business purposes.
Ayanna J. Designs retains the right to display completed work in its portfolio, social media, and marketing materials.
Original working files (e.g., Adobe Illustrator, Photoshop, etc.) are not included unless explicitly stated in writing.

6. Digital Products & Downloads

All digital downloads and resources are for personal or business use only.
Redistributing, reselling, or reproducing any digital product, in whole or in part, without written permission is strictly prohibited.
Unauthorized use may result in access revocation and legal action.

7. Client Responsibilities

You agree to:

Provide accurate and timely information, feedback, and content for your project.
Review all proofs, drafts, and deliverables by the requested deadlines.
Maintain your own backups of final deliverables after the project is completed.

We are not responsible for file loss or damage once final files have been delivered.

8. Limitation of Liability

Ayanna J. Designs LLC is not liable for indirect, incidental, or consequential damages resulting from the use of our designs, materials, or services.
Design outcomes depend on client participation, business strategy, and execution — specific results or sales performance cannot be guaranteed.

9. Privacy Policy

All personal information collected through our site, contact forms, or checkout process is used solely for communication, order fulfillment, and project management.
We do not share, sell, or disclose client data to third parties.

10. Termination & Refusal of Service

We reserve the right to refuse or terminate services if communication becomes unprofessional, abusive, or unproductive.
If a project is terminated by the client after work has begun, all payments made up to that point remain non-refundable.

11. Governing Law

These Terms & Conditions are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes will be resolved under these laws.
